Corporate Foundation Workshops

 

These workshops are designed to coach junior corporate lawyers in the areas of practice in which they are most likely to be involved in the early years of work. They can be delivered as standalone modules or as an integrated programme that can be delivered over a period of time. The topics that we cover include:

  • Preliminary arrangements and agreements, such as confidentiality and exclusivity agreements and heads of terms.
  • Transaction structures (share and business sales, joint ventures and other collaborative arrangements) and some of the typical transaction documents that a junior lawyer might be expected to draft, including the key provisions of a share sale and purchase agreement, shareholder agreement.
  • Due diligence, data rooms and disclosure.

Participants have the opportunity to undertake significant drafting both during and after the course on which individual feedback can be offered.
